About the Role:

Believe is looking for a skilled and motivated Associate – Business Affairs, Legal & Company Secretary to manage the legal and secretarial matters of its affiliated companies in India. This exciting opportunity primarily focuses on contract law, intellectual property (IP) law, and Companies Act compliance, ensuring the application of Believe Group’s contractual templates and internal processes.

The role will be divided into a 70:30 split, with 70% dedicated to legal affairs and 30% focused on company secretarial duties.

Key Responsibilities:
  • Manage corporate governance matters, including preparing agendas and papers for board meetings, committees, and AGMs/EGMs.

  • Convene and service AGMs, record minutes, draft board resolutions, and lodge necessary forms and annual returns with relevant regulatory bodies.

  • Maintain statutory registers (members, directors) and oversee dividend payments and share option schemes.

  • Ensure internal compliance with Indian Company Law and FEMA regulations.

  • Liaise with external regulators, lawyers, consultants, and auditors to ensure smooth operations.

  • Develop and maintain compliance systems aligning with legal and statutory requirements.

  • Assist with legal inputs in mergers, acquisitions, slump sales, and amalgamations, including post-integration activities.

  • Draft, review, vet, and negotiate contractual agreements with suppliers and customers, including amendments and addendums.

  • Handle pre-litigation and litigation matters, including managing public notices and legal notices in coordination with the Head of Litigation in Paris and external lawyers.

  • Ensure CSR compliance and manage Trademark-related compliance activities.

  • Collaborate with internal teams to draft inter-company agreements, policies, SOPs, and maintain relevant trackers.

  • Research and prepare legal opinions on various issues to support business needs.

  • Resolve day-to-day legal queries raised by multiple stakeholders across the Believe Group.

Reporting Structure:

You will report directly to the Head of Legal – India and work closely with both the Indian team and the Central Legal Department based in France.

You will play a pivotal role in supporting business growth and protecting group interests, thriving in an environment that is both Indian and international, amid high growth and ongoing structural evolution.

  • Comfortable working in a tech-driven environment using contracting, CRM tools, digital platforms, and advanced Microsoft Office Suite proficiency.

  • Ability to thrive in a fast-paced, evolving industry, showcasing flexibility and a passion for innovation.

Qualifications & Experience:
  • Bachelor’s/Master’s degree in Law (LLB).

  • Qualified Company Secretary (CS) certification is mandatory.

  • Minimum 5 years of relevant work experience as a lawyer within an international Group, with extensive exposure to corporate secretarial matters.

  • Strong experience in contract processing, deployment, and compliance with group policies.

  • Fluent in English (written and spoken), with professional legal practice experience — English being the main language of communication within the Believe Group.
